TERMS AND CONDITIONS

 

 

1.0        BINDING AGREEMENT

            These terms constitute a binding agreement between Licensee and CoherentRx Inc. and its affiliates and subsidiaries (“CoherentRx Inc.”). “Users” shall mean all Licensee.

 

2.0        THE PEG SOFTWARE

            “PEG Software” is defined as the combination of software and web services provided by CoherentRx Inc. to Users including: (1) PEG EHR and Non EHR Integrations, (2) PEG Cloud-based Content Management System and Genius Library, (3) Genius Chatbot, (4) PEG Personalized Patient Message and Delivery, (5) PEG Engagement Campaigns and (6) PEG Engagement Tracking and Reporting.

 

2.1        Medical Advice.  The PEG Software does not give medical advice. The information and materials available through the PEG Software are for informational and educational purposes only and are not intended to constitute professional advice, diagnosis or treatment, or to substitute for professional judgement. The User assumes full risk and responsibility for the use of information obtained from or through the PEG Software. The User is solely responsible for the professional and technical services he or she provides. In addition, CoherentRx Inc. does not recommend or endorse any provider of healthcare or health-related products, items or services.

 

2.2        No Third-Party Access. Except as required by law and described below, Users will not permit any third party to have access to the PEG Software using Licensee account. Licensee is responsible for the use and misuse of the PEG Software by the Users.

 

2.3        Responsibility for Misuse by Other Users. Users acknowledge that by allowing access the PEG Software, they are responsible for ensuring such use of the PEG Software for the purposes for which they are accessing it. While the PEG Software has certain technical safeguards against misuse, the User acknowledges it will rely to a substantial extent on the User’s responsible use. The User agrees that CoherentRx Inc. will not be responsible for any unlawful access to or use of the PEG Software by any user to whom the User gives access or log-in credentials.

 

2.4        Exporting Information from the PEG Software. The User is solely responsible for any information exported from the PEG Software by the User or others that the User allowed access.

 

3.0        COHERENTRX INC.’S INFORMATION PRACTICES

3.1        Security Policy.  The priority of CoherentRx is to ensure security and CoherentRx uses the following security measures to uphold its Security Policy:

                       

  • Data Security. All information Users provide is stored on our secure servers behind firewalls. CoherentRx Inc. uses Otava, a well-established provider of HIPAA compliant data centers, of Ann Arbor, Michigan, for all data storage. Security documentation will be made available upon request.

 

3.2        Privacy Policy. CoherentRx Inc. respects User privacy and is committed to protecting it through our compliance with this policy. This policy describes:

 

  • The types of information CoherentRx Inc. may collect or that Users may provide when Users access or use the PEG Software.

  • CoherentRx Inc.’s practices for collecting, using, maintaining, protecting and disclosing that information. This policy applies to information CoherentRx Inc. collects through the PEG Software including, but not limited to, the app, the website, email, and other electronic communications.

 

3.3        Information CoherentRx Inc. Collects. CoherentRx Inc. collect information from and about Users of the PEG Software:

 

  • Directly from Users when Users provide it to CoherentRx Inc.

  • Automatically when Users use the PEG Software.

 

3.4        Information Users Provide to CoherentRx Inc. When Users register with the PEG Software, CoherentRx Inc. may ask them to provide information by which Users may be personally identified, such as name, email address and/or telephone number (“Personal Information”).

 

3.5        Automatic Information Collection and Tracking. When Users use the PEG Software, it may use technology to automatically collect:

 

  • Usage Details. When Users use the PEG Software, it automatically collects certain details about the use of the Platform, including communication data and the resources that Users use on or through the PEG Software.

  • Device Information. CoherentRx Inc. may collect information about Users’ mobile device and internet connection, including, but not limited to, the device’s unique device identifier, IP address, operating system, browser type, and mobile network information.

 

3.7        How CoherentRx Inc. Uses User Information.

  • Provide Users with the PEG Software

  • Fulfil any other purpose for which Users provide it

  • Give Users notices about User accounts/subscriptions

  • Carry out our obligations and enforce CoherentRx Inc. rights arising from any contracts entered into between User and CoherentRx Inc., including billing and collection

  • Notify User when updates are available, and of changes to the PEG Software

  • The usage information CoherentRx Inc. collects helps to improve the PEG Software and to deliver a better and more personalized experience by enabling CoherentRx Inc. to:

  • Estimate audience size and usage patterns

  • Store information about User preferences

  • Recognize when and how Users use the PEG Software

 

3.8        Disclosure of Deidentified User Data. CoherentRx Inc. may disclose aggregated information about Users and information that does not identify any individual or device, without restriction. In addition, CoherentRx Inc. may disclose information that CoherentRx Inc. collects or Users provide:

 

  • To our subsidiaries and affiliates

  • To contractors, service providers and other third parties CoherentRx Inc. uses to support our business and who are bound by contractual obligations to keep personal information confidential and use it only for the purposes for which CoherentRx Inc. discloses it to them

  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution or other sale or transfer of some or all of CoherentRx assets, whether as a going concern or as part of bankruptcy, liquidation or similar proceeding, in which personal information held by CoherentRx about our users is among the assets transferred

 

Reasons for use of information include:

  • To fulfil the purpose for which User provides it

  • For any other purpose disclosed by CoherentRx Inc. when Users provide the information; with User consent

  • To comply with any court order, law or legal process, including to respond to any government or regulatory request, provided however, that Licensee will be notified prior to such disclosure and have an opportunity to object to such disclosure

  • To enforce our rights arising from any contracts entered into between Licensee and CoherentRx Inc., including billing and collection

  • If CoherentRx Inc. believes disclosure is necessary or appropriate to protect the rights, property, or safety of CoherentRx Inc., our customers, or others.

 

3.9        Data Security. CoherentRx Inc. has implemented measures designed to secure Users’ personal information from accidental loss and from unauthorized access, use, alteration and disclosure. All information Users provide to CoherentRx Inc. is stored on our secure servers behind firewalls. The safety and security of Users’ information also depends on the User. Where CoherentRx Inc. has given the Users (or where Users have chosen) a password for access to certain parts of the PEG Software, the Users are responsible for keeping this password confidential. CoherentRx Inc. asks Users not to share log-in information with anyone. The transmission of information via the internet and mobile platforms is never completely secure. Although CoherentRx Inc. do our best to protect Users’ personal information, CoherentRx Inc., like any software, cannot guarantee the security of Users’ personal information transmitted through the PEG Software. Any transmission of personal information is at User’s own risk. CoherentRx Inc. is not responsible for circumvention of any privacy settings or security measures CoherentRx Inc. provides.

 

3.10      Security Incident. CoherentRx Inc. will report to Licensee any discovered use or disclosure of information not provided for by these Terms, or when CoherentRx Inc. determines that unauthorized access to information has occurred.

 

3.11      Our Agents. CoherentRx Inc. will ensure that any of our agents, suppliers, and vendors to whom CoherentRx Inc. provides information for purposes of assisting CoherentRx Inc. in providing the PEG Software, shall agree to the same restrictions and conditions that apply to CoherentRx Inc. with respect to such information, including the obligation to implement reasonable and appropriate safeguards.

4.0        ACCOUNT CREATION AND SECURITY CREDENTIALS

            Users are responsible for User login credentials and for keeping account information accurate. Users are responsible for any activity resulting from the use of login credentials on the PEG Software.

 

4.1        Accurate Account Information. Users represent and warrant that the information provided to CoherentRx upon registration and at all other times will be true, accurate, current, and complete. Users also represent and warrant that Users will ensure that this information is kept accurate and up-to-date at all times.

 

4.2        Verification. Users agree that CoherentRx Inc. may take steps to verify User identity and credentials at any time. Users agree that CoherentRx Inc. may use and disclose information, including “Confidential Information,” about the User for such purposes, including making inquiry of third parties concerning User identity. Users authorize such third parties to disclose to CoherentRx Inc. such information as CoherentRx Inc. may request for such purposes, and Users agree to hold them and CoherentRx Inc. harmless from any claim or liability arising from the request for or disclosure of such information. Users agree that CoherentRx Inc. may terminate a User’s access to the PEG Software at any time if CoherentRx Inc. are unable at any time to determine or verify User’s qualifications or credentials.

 

4.3        Protection of Login Credentials. All registered Users will have login information, including a username and password. Users may not share account and login information with, or allow access to User’s account by, any third party. The User will be responsible for all activity that occurs under User’s account and access credentials, User should take care to preserve the confidentiality of login credentials, and any device that User uses to access the PEG Software. Users agree to notify CoherentRx Inc. immediately of any breach in secrecy of login information. If User have any reason to believe that his/her account information has been compromised or that his/her account has been accessed by a third party, User agrees to immediately notify CoherentRx by e-mail to support@coherentrx.com. Users will be solely responsible for the losses incurred by CoherentRx Inc. and others (including patients) due to any unauthorized use of User’s account that takes place prior to notifying CoherentRx Inc. that User’s account has been compromised.

 

5.0        COMMUNICATIONS

            CoherentRx may communicate with Users by email or by posting notice on the PEG Software. Users may request that CoherentRx Inc. provides notice of security breaches in writing. Users agree to receive email from us at the email address User provided to us for informational and customer service-related purposes. By using the PEG Software or providing Personal Information to us, Users agree that CoherentRx Inc. may communicate with Users electronically (“Electronic Notices”) regarding security, privacy, and administrative issues relating to User’s use of the PEG Software. If CoherentRx Inc. learns of a security system’s breach, CoherentRx Inc. may attempt to notify Users electronically by posting a notice on the PEG Software or sending an email to the User. Users may have a legal right to receive this notice in writing. To receive free written notice of a security breach (or to withdraw the User’s’ consent from receiving electronic notice); please write to CoherentRx Inc. at support@coherentrx.com.

 

6.0        CONFIDENTIAL INFORMATION

            “Confidential Information” means all confidential information disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. User’s Confidential Information shall include the data Users post to the PEG Software. CoherentRx Confidential Information shall include the PEG Software, customer feedback, and information relating to the performance, reliability, or stability of the PEG Software, operation of the PEG Software, know-how, techniques, processes, ideas, algorithms, and software design and architecture; and Confidential Information of each party shall include business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by such party. However, Confidential Information shall not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party.

 

6.1        Protection of Confidential Information. The Receiving Party shall (i) use the same degree of care that it uses to protect the confidentiality of its own confidential information of like kind (but in no event less than reasonable care), (ii) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of these Terms, and (iii) except as otherwise authorized by the Disclosing Party in writing, limit access to Confidential Information of the Disclosing Party to those of its and its affiliates’ employees, contractors and agents who need such access for purposes consistent with this Agreement and who have signed confidentiality agreements with the Receiving Party containing protections no less stringent than those herein, or are otherwise subject to such confidentiality protections.

 

6.2        Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party if it is compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to such Confidential Information.

 

7.0        COPYRIGHT POLICY

            Licensees are responsible to notify CoherentRx Inc. if Licensee thinks a User has violated the Users copyright using the PEG Software, or if Licensee think someone incorrectly reported that a User violated his or her copyright. The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If Licensee believes in good faith that materials posted on the PEG Software infringe User copyright, Licensee (or Licensee agent) may send CoherentRx Inc. a “Notification of Claimed Infringement” requesting that the material be removed, or access to it blocked. The notice must include the following information:

 

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the works that have been allegedly infringed

  • Identification of the copyrighted work alleged to have been infringed (or if multiple copyrighted works located on the PEG Software are covered by a single notification, a representative list of such works)

  • Identification of the specific material alleged to be infringing or the subject of infringing activity, and information reasonably sufficient to allow CoherentRx to locate the material on the PEG Software

  • Licensee name, address, telephone number, and email address (if available)

  • A statement that Licensee has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law

  • A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed

  • If Licensee believes in good faith that a notice of copyright infringement has been wrongly filed against Licensee, the DMCA permits User to send CoherentRx a counter-notice. Notices and counter-notices must meet the then-current statutory requirements imposed by the DMCA; see http://www.loc.gov/copyright/ for details.

  • Notices and counter-notices with respect to the PEG Software should be sent to support@coherentrx.com. Consult a legal advisor and see 17 U.S.C. Section 512 before filing a notice or counter-notice as there are penalties for false claims under the DMCA.

 

8.0        USER CONTENT DISCLAIMERS, LIMITATIONS AND PROHIBITIONS

            CoherentRx Inc. does not represent or guarantee the truthfulness, accuracy, or reliability of content, posted by Users. Users accept that any reliance on material posted by other Users, vendors, or suppliers will be at User’s own risk.

 

8.1        Prohibited PEG Software Uses. Users agree to use the PEG Software only for its intended purpose. Users must use the PEG Software in compliance with all privacy, data protection, intellectual property, and other applicable laws. The following uses of the PEG Software are prohibited. Users may not:

 

  • Use data mining, robots, or other data-gathering devices on the PEG Software

  • Disable, damage, circumvent, or otherwise interfere with the security of the PEG Software

  • Gain unauthorized access to the PEG Software or computers linked to the PEG Software

  • Frame or link to the PEG Software without permission

  • Attempt to submit, or submit a virus to the PEG Software

  • Attempt to or obtain unauthorized access to other Users’ accounts

  • Sell, transfer, or assign any of Licensee’s rights to use the PEG Software to a third party without our express written consent

  • Use an account that has been sold, transferred, or assigned to User from a PEG Software User without our express written consent

  • Use the PEG Software in a manner that results in or may result in complaints, disputes, claims, fines, penalties, and other liability to CoherentRx or others

  • Use the PEG Software in an illegal way or to commit an illegal act

  • Create multiple registrations, whether fraudulently, falsely, unlawfully, legitimate or lawfully, without CoherentRx Inc.’s prior consent

 

8.2        Prohibition of Certain User-Provided Information. Users are solely responsible for User content on the PEG Software. CoherentRx Inc. does not endorse any, nor is CoherentRx Inc. responsible for, User content on the PEG Software. User assumes all risks associated with his or her content, including anyone’s reliance on its quality, accuracy, or reliability. Users may expose itself to liability if, for example, content contains material that is false, intentionally misleading, or defamatory; violates third-party rights; or contains material that is unlawful or advocates the violation of any law or regulation. Users may not:

 

  • Post information on behalf of another person or entity without their consent

  • Post incomplete, false, or misleading information in a User profile, impersonate another person, or misrepresent the affiliation with a person or entity

  • Post information that is false, deceptive, misleading, deceitful, or misinformative

  • Post links, advertisements, or other content from competitors’ websites

  • Post any franchise, pyramid scheme, or similar information

 

9.0        CONSEQUENCES OF VIOLATION OF THESE TERMS

            If User violates the terms of this Agreement, CoherentRx Inc. may refuse to provide the PEG Software to that User. User is responsible for any claims, fees, fines, penalties and other liability incurred by CoherentRx Inc. or others caused by or arising out of User’s breach of these Terms and User’s use of the PEG Software.

 

10.0      COHERENTRX INC.’S LIABILITY

10.1      Changes to the PEG Software. CoherentRx Inc. may change, suspend or discontinue any aspect of the PEG Software at any time, including hours of operation or availability of the PEG Software or any feature, without notice or liability.

 

10.2      User Disputes. CoherentRx Inc. is not responsible for any disputes or disagreements between User and any third party with whom User interacts using the PEG Software. User assumes all risks associated with dealing with third parties. User agrees to resolve disputes directly with the other party. User releases CoherentRx Inc. of all claims, demands, and damages in disputes among users of the PEG Software. User also agrees not to involve CoherentRx Inc. in such disputes. Use caution and common sense when using the PEG Software.

 

10.3      Content Accuracy. CoherentRx Inc. makes no representations about the accuracy, reliability, completeness or timeliness of any contents in the PEG Software. Similarly, CoherentRx Inc. makes no representations about the accuracy, reliability, completeness or timeliness of any data from third-party vendors or suppliers, or the quality or nature of third-party products or services obtained through the PEG Software.

 

10.4      Released Parties Defined. “Released Parties” include CoherentRx Inc. and our affiliates, officers, employees, agents, partners and CoherentRx Inc.

 

10.5      DISCLAIMER OF WARRANTIES. USER EXPRESSLY UNDERSTANDS AND AGREES THAT: (A) USER’S USE OF THE PEG SOFTWARE IS AT USER’S SOLE RISK, AND THE PEG SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THE RELEASED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED BY BUSINESSES LISTED ON THE COHERENTRX PLATFORM, IMPLIED WARRANTIES OF MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE; (B) THE RELEASED PARTIES MAKE NO WARRANTY THAT (I) THE PEG SOFTWARE WILL MEET USER’S REQUIREMENTS, (II) THE PEG SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PEG SOFTWARE WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY GOODS OR SERVICE AVAILABLE ON THE PEG SOFTWARE WILL MEET USER’S EXPECTATIONS, (V) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PEG SOFTWARE IS ACCESSED AT USER’S OWN DISCRETION AND RISK, AND USER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO USER’S COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

 

10.6      LIMITATION OF LIABILITY AND INDEMNIFICATION. USER EXPRESSLY UNDERSTANDS AND AGREES THAT THE RELEASED PARTIES SHALL NOT BE LIABLE TO USER FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF COHERENTRX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE COHERENTRX PLATFORM; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH, FROM, OR AS A RESULT OF THE COHERENTRX PLATFORM; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF USER’S TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY USER OR THIRD PARTY ON THE COHERENTRX PLATFORM; (V) USER’S RELIANCE ON CONTENT MADE AVAILABLE BY US; OR (VI) ANY OTHER MATTER RELATING TO THE COHERENTRX PLATFORM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN THIS PARAGRAPH MAY NOT APPLY TO USER.

 

            EACH PARTY AGREES TO INDEMNIFY, DEFEND AND HOLD HARMLESS THE OTHER PARTY, ITS SUBSIDIARIES, AFFILIATES, AGENTS, DIRECTORS, OFFICERS, TRUSTEES, MEDICAL STAFF, EMPLOYEES AND VOLUNTEERS (COLLECTIVELY REFERRED TO AS “INDEMNITEES”) FROM AND AGAINST ANY AND ALL CLAIMS, COSTS, SUITS, DAMAGES, LOSSES, AND EXPENSES, INCLUDING, BUT NOT LIMITED TO, REASONABLE ATTORNEY’S FEES, WHICH MAY BE ALLEGED, CLAIMED, OR RECOVERED AGAINST INDEMNITEES RELATING TO INJURY OR DEATH OF ANY PERSON OR DAMAGE TO REAL OR PERSONAL PROPERTY THAT MAY ARISE IN CONNECTION WITH I) ANY BREACH OF ANY PROVISION OF THIS AGREEMENT, OR II) ANY ACT, OMISSION, OR NEGLECT BY THE OTHER PARTY INCLUDING, WITHOUT LIMITATION, ITS SUBCONTRACTORS, AFFILIATES, AGENTS, DIRECTORS, OFFICERS, TRUSTEES, EMPLOYEES AND VOLUNTEERS THAT MAY ARISE (1) AS A RESULT OF THE SERVICES PROVIDED BY THE OTHER PARTY, (2) IN CONNECTION WITH THE USE OR MAINTENANCE OF ANY PROPERTY, FACILITY OR EQUIPMENT BY OR UNDER THE DIRECTION OR CONTROL OF THE OTHER PARTY,(3) AS A RESULT OF THE PERFORMANCE OF ANY ACTIVITIES BY OR UNDER THE DIRECTION OR CONTROL OF THE OTHER PARTY, OR (4) AS A RESULT OF THE NEGLIGENT ACTS OR OMISSIONS OR WILLFUL MISCONDUCT OF THE OTHER PARTY. THIS INDEMNIFICATION SHALL SURVIVE TERMINATION OF THIS AGREEMENT.

 

11.0      GENERAL TERMS

            These Terms constitute the entire agreement between Licensee, Licensee Users and CoherentRx Inc. concerning User’s use of the PEG Software. The failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. The section titles and annotations in these Terms are for convenience only and have no legal or contractual effect.
 

12.0      FEES

            Licensee agrees to pay to CoherentRx the fees for the PEG Software based on the rates and charges set forth in your Invoice, as applicable. Fees are due within seven days from the invoice date. If you have arranged for payment by credit card, CoherentRx may charge your card or account on or after the invoice date. If your undisputed payment is fifteen days or more late CoherentRx may suspend the Services and any other services you receive from CoherentRx on written notice. CoherentRx shall undertake collection efforts prior to suspension. Invoices that are not disputed within one hundred and twenty days of the invoice date are conclusively deemed accurate. Fees must be paid in the currency identified in your Invoice, as applicable. CoherentRx may charge interest on overdue amounts at the greater of 1.5% per month or the maximum legal rate, and may charge you for any cost or expense arising out of our collection efforts.
